NuevaFlo — Terms of Service

Welcome to NuevaFlo. These Terms of Service (“Terms”) govern access to and use of the NuevaFlo platform (“Service”), operated by MSharp S.A.S. (“NuevaFlo”, “we”, “our”, or “us”).

By accessing or using the Service, you agree to these Terms. If you do not agree, you may not use the Service.


  1. Nature of the Service

NuevaFlo is a cloud-based logistics management software platform that helps organizations manage operational workflows such as quotations, shipments, documentation, and coordination.

NuevaFlo is software only.

NuevaFlo does not provide transportation, brokerage, customs, compliance certification, or logistics execution services. Users remain solely responsible for their operations, regulatory compliance, and commercial decisions.


  1. Accounts

You must create an account to use the Service.

You agree to:

  • Provide accurate information
  • Maintain the confidentiality of credentials
  • Be responsible for all activity under your account
  • Notify us of unauthorized access

You may not:

  • Share credentials outside your organization
  • Resell or sublicense access without authorization
  • Use automated systems to extract data without permission

We may suspend accounts that violate these Terms.


  1. Acceptable Use

You agree not to use the Service to:

  • Violate laws or regulations
  • Store unlawful or infringing content
  • Attempt unauthorized access
  • Interfere with platform stability or security
  • Reverse engineer or attempt to copy the Service

  1. Customer Data

You retain ownership of the data you upload (“Customer Data”).

You grant NuevaFlo a limited license to host, process, transmit, and display Customer Data solely to operate and improve the Service.

You are responsible for:

  • Accuracy of data
  • Legal right to upload it
  • Compliance with applicable regulations

  1. Availability

We aim to provide reliable service but do not guarantee uninterrupted availability.

Service interruptions may occur due to:

  • Maintenance
  • Updates
  • Third-party provider outages
  • Circumstances beyond our control

NuevaFlo is not liable for operational losses resulting from temporary unavailability.


  1. Fees and Billing

Certain features require payment.

Unless otherwise agreed:

  • Fees are billed in advance
  • Fees are non-refundable
  • Subscription renews automatically
  • Taxes are the customer’s responsibility

We may suspend accounts with overdue balances.


  1. Service Provided As-Is

The Service is provided on an “as is” and “as available” basis.

From time to time NuevaFlo may share plans, ideas, or upcoming improvements. These are for informational purposes only and are not commitments. Features and functionality may change, be updated, or discontinued as the Service evolves.


  1. Beta Features

NuevaFlo may occasionally offer features labeled as beta, preview, or early access.

These features are provided for evaluation and feedback purposes and may be incomplete, unstable, or changed at any time. Availability and behavior of beta features are not guaranteed.

Customers should not rely on beta features for critical operations. NuevaFlo is not responsible for issues arising from their use.


  1. Intellectual Property

The Service, including software, design, workflows, and documentation, is owned by MSharp S.A.S.

You receive a limited, non-exclusive, non-transferable right to use the Service.

You may not copy, modify, distribute, or create derivative works.


  1. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or commercial information received from the other party and use it only for the purposes of the Service.


  1. Limitation of Liability

To the maximum extent permitted by law:

NuevaFlo shall not be liable for:

  • Indirect damages
  • Loss of profits
  • Loss of business
  • Loss of data
  • Operational disruptions

Total liability shall not exceed the amount paid by the customer in the previous 3 months.


  1. Termination

You may stop using the Service at any time.

We may suspend or terminate access if:

  • These Terms are violated
  • Required by law
  • Continued service presents security or operational risk

Upon termination, access to the Service will be revoked.


  1. Data Retention and Deletion

Upon cancellation or termination of the account, access to the Service will be disabled.

Customer Data will be retained for a limited period to allow reasonable export or retrieval. After this period, data may be permanently deleted in accordance with our internal processes and storage policies.

It is the customer’s responsibility to export or back up their information before final account closure.


  1. Changes

We may update these Terms periodically.

Continued use of the Service after updates constitutes acceptance.


  1. Governing Law

These Terms are governed by the laws of the Republic of Colombia.

Disputes shall be resolved in the courts of Colombia unless otherwise required by applicable law.
